OVERVIEW

Welcome to GGC by Grace Global Collective. This website and store are operated by Grace Global Collective Inc., trading as GGC by Grace Global Collective. Throughout these Terms, “we”, “us” and “our” refer to Grace Global Collective Inc.

We provide this website, including its information, content, features, tools, products and services (collectively, the “Services”). Our store is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service, together with the policies expressly referenced in them, explain the terms on which you may use the Services and purchase products from us. Please read them carefully before using the Services or placing an order.

By using the Services, you agree to these Terms. If you do not agree, you should not use the Services. Our Privacy Policy explains how we collect and use personal information. Acceptance of these Terms does not itself constitute consent to marketing.

Nothing in these Terms excludes or restricts any consumer rights or other rights that cannot lawfully be excluded or restricted. Where a provision conflicts with a mandatory legal right, that right takes precedence.

SECTION 1 - ACCESS AND ACCOUNT

To place an order, you must be legally capable of entering into a binding contract under the law applicable to you. If you allow a minor to use the Services under your supervision, you are responsible for supervising that use.

You may be asked to provide information such as your email address, billing details, payment information and delivery address. You must provide information that is accurate, current and complete, and that you are authorised to provide.

You are responsible for keeping your account credentials secure. Please notify us promptly if you suspect unauthorised access to your account. You may not sell, transfer, assign or license your account to another person without our written agreement.

SECTION 2 - OUR PRODUCTS

We take reasonable care to describe and display our products accurately. Colours and appearance may vary slightly between screens because of device settings, lighting and display technology. This does not affect our obligation to supply products that conform to their description and meet applicable legal standards.

Product descriptions, availability and specifications may be updated from time to time. Changes will not retrospectively alter the description or agreed specifications of an order we have already accepted, unless you agree or the law permits the change.

We may discontinue products or limit quantities available for purchase, subject to our obligations for accepted orders.

Please read and follow the instructions and safety information supplied with your product.

SECTION 3 - ORDERS

When you submit an order, you are making an offer to purchase the products in that order. We accept your order when we send an email expressly confirming acceptance. Payment must be successfully authorised or received before we accept an order.

We may decline an order before acceptance for a legitimate reason, including unavailable stock, an unresolved pricing error, unsuccessful payment, suspected fraud or an unsupported delivery destination. If we decline an order after taking payment, we will refund the amount paid for that order without undue delay.

Please check your order details before submitting them. If you need to request a change or cancellation, contact us promptly at info@graceglobalcollective.com. We may not be able to change an order once processing has begun, but this does not affect any legal right to cancel or return it.

Returns, refunds and exchanges are explained in our Refund Policy. That policy operates alongside your statutory rights and does not replace or restrict them.

Products are offered for personal or household use. Please contact us before purchasing for commercial resale.

Where a product is marked “coming soon” or otherwise unavailable to order, joining a mailing list does not place an order, reserve stock or create a purchase obligation.

SECTION 4 - PRICES AND BILLING

Prices are displayed in the currency selected or identified on the website. The product price, applicable taxes and any delivery or other charges collected by us will be shown before you submit your order.

UK consumer prices include applicable VAT. Where additional taxes apply in another market, their treatment will be shown at checkout as required by applicable law. Any customs or import charges not collected by us will be disclosed where applicable before you order, including how they are calculated where reasonably possible.

We may change prices for future purchases. A later price change will not change the agreed price of an accepted order. Pricing errors are addressed in Section 12.

You agree to provide accurate and current purchase, payment and account information, and to update it where necessary so we can process transactions and contact you.

By providing a payment method, you confirm that you are authorised to use it and authorise payment of the total amount disclosed at checkout. We will not add optional charges without your agreement.

SECTION 5 - SHIPPING AND DELIVERY

Available delivery destinations, charges and estimated delivery times will be shown on the website or at checkout before you order. Unless we expressly agree a guaranteed date, delivery dates are estimates. This does not remove any delivery deadline or remedy provided by applicable law.

If a delay occurs, we will take reasonable steps to inform you and help resolve it. Where the law gives you a right to cancel because of a delay or failure to deliver, that right remains available.

When we arrange delivery, the products remain at our risk until you, or a person you nominate to receive them, takes physical possession. Handing the parcel to our delivery carrier does not transfer that risk to you.

Ownership passes to you once we have received full payment and the products have been delivered.

Please contact info@graceglobalcollective.com if your parcel is missing, damaged or contains the wrong item. We will assist you directly; you do not have to resolve our delivery arrangements with the carrier yourself.

SECTION 6 - INTELLECTUAL PROPERTY

The Services, including our branding, text, photographs, graphics, videos, audio, designs and their arrangement, are owned by us or our licensors, except where otherwise indicated. They are protected by applicable intellectual property laws.

You may browse the website and download or print reasonable extracts for your personal, non-commercial use, including retaining information about your purchases. You must not otherwise reproduce, distribute, modify, sell or commercially exploit our content without permission, except where permitted by law.

You must not remove copyright, trademark or other ownership notices from materials you use.

Our names, logos, product names and slogans may not be used in a way that suggests our endorsement or affiliation without our written permission. Shopify’s names and branding belong to Shopify. Other third-party names and branding belong to their respective owners.

Except as expressly permitted in these Terms or by law, no intellectual property licence is granted to you.

SECTION 7 - OPTIONAL TOOLS

The Services may give you access to optional tools provided by third parties. Where applicable, those tools are subject to the provider’s separate terms, which you should review before using them.

We do not control independent third-party tools and cannot guarantee their continuous availability or performance. However, this does not exclude our responsibility for our own conduct or for any obligations we cannot lawfully delegate or exclude.

New features or tools we introduce as part of the Services will be subject to these Terms and any additional terms clearly disclosed before use.

SECTION 8 - THIRD-PARTY LINKS

The Services may contain links to third-party websites or embedded third-party content. A link does not, by itself, mean that we endorse the linked website, its content or its operator.

We do not control independent third-party websites. Please review their terms and privacy practices before using them or making a purchase. Questions about a transaction made directly with a third party should be directed to that party.

This section does not limit our responsibility for products you purchase directly from us or any responsibility that cannot lawfully be excluded.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

GGC by Grace Global Collective is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with GGC by Grace Global Collective. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and GGC by Grace Global Collective, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with GGC by Grace Global Collective.

The above provisions apply only to the extent permitted by law and do not exclude rights or liabilities that cannot lawfully be excluded.

SECTION 10 - PRIVACY POLICY

Our Privacy Policy explains how we collect, use and share personal information through the Services, and how you can exercise your privacy rights.

Because our store is hosted by Shopify, Shopify also processes information about your access to and use of the Services. Where Shopify processes information for its own purposes, its Consumer Privacy Policy applies.

Information may be processed by Shopify and other service providers in countries outside your country of residence. Please see our Privacy Policy for details of the relevant processing and safeguards.

SECTION 11 - FEEDBACK

If you submit a product review, suggestion or other content intended for public display or use in improving the Services (“Feedback”), you retain ownership of your content.

You grant us a non-exclusive, worldwide, royalty-free licence to reproduce, display and share that Feedback for operating, improving and promoting the Services. We may use service providers to help us do this. We will not edit a review in a way that misrepresents its meaning.

This permission does not give us a right to publish private customer-service correspondence, confidential information or personal information contrary to our Privacy Policy or applicable law. Any additional permission required by law will be obtained separately.

You confirm that you have the rights necessary to submit your Feedback, that it reflects your honest views or experience, and that you have disclosed any payment, gift or other incentive associated with it.

Feedback must not infringe another person’s rights, contain unlawful or abusive material, impersonate another person or include malicious software. We may remove content that breaches these requirements. Unless separately agreed, submitting Feedback does not entitle you to payment.

SECTION 12 - ERRORS, INACCURACIES AND OMISSIONS

We take reasonable care to keep information accurate, but errors may occasionally occur in product descriptions, prices, availability, delivery information or other content. We will correct identified errors as soon as reasonably practicable.

If an error affects an order before acceptance, we will contact you where appropriate so you can decide whether to proceed on the corrected basis or cancel. If we cannot fulfil the order, we will refund any payment taken for it.

We will not automatically charge you a higher price without your agreement. Corrections to the website do not themselves give us an unrestricted right to change or cancel an accepted contract. Any change or cancellation after acceptance will be subject to applicable law and your rights.

SECTION 13 - PROHIBITED USES

You may use the Services only for lawful purposes. You must not:

  • Use the Services for fraud or other unlawful activity.

  • Infringe intellectual property, privacy or other legal rights.

  • Harass, threaten, abuse or unlawfully discriminate against another person.

  • Provide intentionally false or misleading information or impersonate someone else.

  • Send unsolicited advertising, spam or malicious communications.

  • Upload viruses, malware or other harmful code.

  • Collect another person’s personal information without a lawful basis.

  • Obtain unauthorised access to accounts, systems or data.

  • Interfere with the operation or security of the Services, or bypass access restrictions.

  • Scrape, copy or extract content for unauthorised commercial exploitation.

  • Use automated tools in breach of Section 14 or our reasonable access restrictions.

We may restrict access where reasonably necessary to address a breach, fraud or a security risk. Any action will be proportionate and will not remove your rights relating to an existing order.

SECTION 14 - AGENTS

14.1 This section applies if you use or enable software or a service that takes autonomous or semi-autonomous action on your behalf to access or interact with the Services (an “Agent”).

14.2 Agents must comply with these Terms and any reasonable technical restrictions we apply. An Agent must stop accessing the Services if we request it to do so.

14.3 We may use technical measures to control whether and how Agents access or interact with the Services.

14.4 Agents must identify themselves in HTTP or HTTPS requests by including “Agent/[agent name]” in their user-agent string. They must not conceal their automated nature, misrepresent themselves as human, bypass CAPTCHAs, or circumvent measures intended to block or control automated access. They must answer truthfully any question intended to distinguish automated from human interaction.

14.5 Using an Agent does not remove the need for your authorisation of a purchase or affect any consumer rights you have under applicable law.

SECTION 15 - TERMINATION

You may stop using the Services at any time. You may contact us if you wish to close an account, subject to any information we must retain for legal or transactional purposes.

We may suspend or terminate access where reasonably necessary because of a material breach of these Terms, suspected fraud, a security risk, a legal requirement or discontinuation of the Services. Where reasonably practicable and appropriate, we will provide notice and an opportunity to resolve the issue.

Suspension or termination does not remove either party’s obligations for accepted orders, payments properly due, refunds or rights that arose before termination.

Provisions that are intended by their nature to continue after termination, including intellectual property, relevant Feedback permissions, liability and dispute provisions, will continue to apply.

SECTION 16 - WARRANTIES AND WEBSITE AVAILABILITY

We take reasonable care in providing the Services, but cannot guarantee that the website will always be available, uninterrupted or free from technical errors. Access may be interrupted for maintenance, updates or circumstances outside our reasonable control.

General website information is not a substitute for advice appropriate to your particular circumstances. However, this does not reduce our responsibility for accurate product descriptions or other information that forms part of your purchase contract.

Any product warranty we expressly provide applies according to its stated terms and is additional to your statutory rights. It does not replace or shorten those rights.

We do not exclude any warranty, guarantee, condition or standard of quality that applicable law requires us to provide.

SECTION 17 - LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

Where we breach these Terms, we are responsible for loss or damage for which applicable law makes us responsible. For consumers, this includes reasonably foreseeable loss caused by our breach or failure to use reasonable care and skill. Loss is foreseeable if it was an obvious consequence or was contemplated by you and us when the contract was made.

Products are supplied for personal and household use. To the extent permitted by law, we are not responsible for business losses, such as lost business profits or commercial opportunities, resulting from use of the Services or products for business purposes.

Nothing in this section removes remedies for defective or misdescribed goods or other mandatory consumer protections.

SECTION 18 - RESPONSIBILITY FOR MISUSE

You may be responsible for reasonable losses directly caused by your fraud, deliberate unlawful conduct or material breach of these Terms, to the extent that applicable law makes you responsible.

You are not required to compensate us or another party merely because you use the Services, make a complaint or exercise a legal right. You are not responsible under this section for losses caused by our own negligence, breach or unlawful conduct.

Any claim will be subject to applicable legal requirements, including requirements to establish loss and take reasonable steps to reduce it. This section does not create an unrestricted obligation to pay third-party claims or legal fees.

SECTION 19 - SEVERABILITY

If a provision of these Terms is found to be unlawful, invalid or unenforceable, it will not apply to the extent of that finding. The remaining provisions will continue to apply where they can do so lawfully.

This does not authorise us to replace an invalid provision with another term without following the requirements applicable to changes to these Terms.

SECTION 20 - WAIVER; ENTIRE AGREEMENT

If either party does not immediately enforce a right under these Terms, that does not mean the right has been waived.

These Terms, the policies expressly incorporated into them and the information forming part of an accepted order set out the agreement between you and us concerning the Services and that order.

Nothing in this section excludes liability for fraud or removes the effect of statements or pre-contract information that applicable law makes binding. Where consumer law requires an unclear term to be interpreted in the consumer’s favour, that rule applies.

SECTION 21 - ASSIGNMENT

You may not transfer your contractual obligations to someone else without our written agreement. This does not prevent you from exercising any right of transfer provided by law.

We may transfer our rights and obligations to another organisation, provided that the transfer does not reduce your contractual or statutory rights. We will notify you where required by law and where the transfer materially affects your contract or the handling of your order.

SECTION 22 - GOVERNING LAW AND DISPUTES

These Terms and any dispute relating to them are subject to applicable law, including the mandatory consumer-protection laws that apply to your transaction and place of residence.

Nothing in these Terms requires you to give up a mandatory right to bring proceedings in the courts of your country, province, state or other jurisdiction of residence. A dispute may be brought before any court that has jurisdiction under applicable law.

If you have a concern, please contact info@graceglobalcollective.com so we can try to resolve it. Contacting us does not prevent you from exercising your legal rights.

SECTION 23 - HEADINGS

Headings are included for convenience and do not change the meaning or interpretation of these Terms.

SECTION 24 - CHANGES TO TERMS OF SERVICE

The current version of these Terms will be available on this page. We may update them to reflect changes to our business, the Services or applicable law.

Material changes will be communicated where required by law. Updated Terms will apply from the stated effective date to future use of the Services and future orders, subject to any consent requirements imposed by law.

An order already accepted remains subject to the Terms that applied when it was accepted, unless a change is required by law or we agree otherwise with you. You may save or print a copy for your records.
